Paralegal/Contracts Administrator (Remote) Pacific Time Zone

ShotSpotter is seeking an experienced paralegal/contracts administrator, who is a team player and an extremely organized, passionate, and detail-oriented individual who can provide general oversight, organization and continuity across the legal team with respect to contracts, coordinating meetings and including managing multiple projects within required timelines, reviewing, revising and drafting a broad range of contracts and interpreting contract provisions, conducting research, preparing memoranda/correspondence and other documents.

Responsibilities:

  • Review legal and commercial documents and contracts, including licensing and services agreements, RFPs, statements of work.
  • Analyze and revise contracts requirements, special provisions, terms, and conditions to ensure adherence to compliance and to corporate policies.
  • Assist in the request for information on contracts, contract terms and follow up on contract matters.
  • Draft basic correspondence.
  • Coordinate meetings with prosecutors, outside counsel, and other attorneys.
  • Maintain a list and copies of relevant caselaw and research by attorneys.
  • Receive, summarize, respond to, and track subpoenas and responses.
  • Receive, coordinate, and track requests for legal training and expert testimony.
  • Review/Prepare NDA’s: Utilize standard Company template to create, or review other party’s form of NDA
  • Review/Prepare New Independent Contractor or Consultant Agreement, or amendments and New Customer Agreements/amendments.
  • Review and maintain a list of non-standard contract clauses.
  • Review and maintain a list of insurance requirements, request certificates of insurance and vendor agreements.
  • Review requested changes to Premise Authorization form, including the review of utility pole agreements, or other property owner/manager form of agreement
  • Requests to research contract terms, or find a contract (ensure all parties have the most recent version of the contract.)
  • Maintain Contract files up to date in Salesforce and / or Contracts SharePoint site.

Minimum Qualifications:

  • Paralegal Certificate is a plus or Equivalent work experience is preferred
  • Prior experience in either or all; contract administration, legal experience or a similar role
  • Responsive, strong organizational, detail and project management skills is a must
  • Ability to manage multiple projects and initiatives simultaneously
  • Understanding of contracts, contract governance, contractual language and the contract lifecycle.
  • Excellent oral and written communication skills
  • Proficient in the use of Microsoft products (MS Word, Excel, SharePoint)
  • Knowledge of Salesforce is a plus
